Terms of Service

Please read these terms carefully. They govern our contractual relationship and the delivery of software solutions.

1. Acceptance of Terms

By accessing our website, submitting an RFP, or signing a contract with Meta Software, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind such entity.

2. Scope of Services

The specific details of the software deliverables (features, technologies, timeline) will be defined in a separate 'Project Proposal' or 'SOW' (Statement of Work).

  • Change Orders: Any features not explicitly listed in the SOW are considered 'Out of Scope' and will require a separate Change Order with potential budget/timeline adjustments.
  • Client Delays: Meta Software is not responsible for deadline slippages caused by client delays in providing feedback, assets, or access credentials.

3. Payment & Invoicing

Unless agreed otherwise in the contract:

  • Payment Structure: Typically split into milestones (e.g., 50% Upfront, 25% Beta, 25% Final Delivery).
  • Late Payments: Invoices are due within 14 days. We reserve the right to pause work or suspend services if payments are overdue.
  • Taxes: Prices quoted exclude VAT or other applicable taxes unless stated otherwise.

4. Cancellation & Refunds

Project cancellation terms are strictly enforced to cover resource allocation:

  • Client Cancellation: If you cancel the project, the upfront deposit is non-refundable. You will be billed for all work completed up to the cancellation date.
  • Meta Software Cancellation: If we cancel the project due to no fault of yours, a full refund of unearned fees will be issued.

5. Warranty & Maintenance

We stand behind our code quality:

  • Bug-Free Warranty: We provide a 30-day warranty period after delivery to fix any critical bugs at no extra cost.
  • Exclusions: This warranty does not cover issues caused by third-party API changes, hosting failures, or unauthorized code modifications by the client.
  • Maintenance Plans: Ongoing support (SLA) is available as a separate subscription service.

6. Limitation of Liability

To the maximum extent permitted by law, Meta Software shall not be liable for any lost profits, data loss, or business interruption resulting from the use or inability to use the software.

  • Cap on Liability: Our total liability shall not exceed the total amount paid by you for the specific service giving rise to the claim.

7. Third-Party Services

Our solutions may integrate with third-party tools (e.g., Stripe, Google Maps, AWS). We are not responsible for the uptime, policy changes, or fee structures of these third-party providers.

8. Governing Law

These terms shall be governed by the laws of the Arab Republic of Egypt. Any disputes shall be resolved in the competent courts of Giza, Egypt, or through amicable arbitration if agreed upon.
